Terms of Service

These terms govern access to and use of the Fleetfully platform. Please read them carefully — by using the platform, you agree to them.

Effective June 13, 2026 · Last updated June 13, 2026

These Terms of Service ("Terms") are a binding agreement between Fleetfully ("Fleetfully," "we," "us") and the organization that registers for or uses the Fleetfully platform at labcourier.com and its subdomains (the "Platform"). By accessing the Platform, creating an account, or permitting your personnel to use it, you agree to these Terms on behalf of your organization ("Customer," "you").

1. Definitions

  • Platform — the Fleetfully dispatch software, including intake, dispatch, tracking, driver applications, settlements, and the developer API.
  • Carrier — a courier company that contracts with us to use the Platform to run its operations.
  • Client — a lab, hospital, clinic, or other organization that a Carrier serves through the Platform.
  • PHI — protected health information as defined by HIPAA. The handling of PHI is governed by a Business Associate Agreement (see our HIPAA & BAA statement), which controls over these Terms to the extent of any conflict regarding PHI.

2. Accounts & access

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your accounts. You will ensure that each user accesses the Platform under their own credentials, will assign roles appropriately, and will promptly deactivate access for personnel who no longer need it. Notify us immediately of any suspected unauthorized access through our contact page.

3. Acceptable use

Your use of the Platform must comply with our Acceptable Use Policy and all applicable laws and regulations, including those governing the transport of medical specimens and the handling of health information. You will not misuse the Platform, interfere with its operation, or attempt to access data you are not authorized to access.

4. Customer responsibilities

  • You are responsible for the accuracy of the order, address, and routing information you and your Clients submit.
  • The Platform assists with intake and dispatch. You configure how orders are dispatched, and you are responsible for the rules you set and the operational decisions you make.
  • You are responsible for your own relationships with your Clients and drivers, and for the lawful operation of your courier business.
  • You will obtain and maintain any consents, licenses, and agreements required for the data you process and the work you perform.

5. AI-assisted features

The Platform uses automated extraction to draft structured orders from inbound messages. These drafts are aids for your team, not authoritative output. Extracted data is validated against a strict schema, and the original source message is preserved and shown for review. You are responsible for verifying order details before dispatch.

6. Fees & payment

Fees, billing frequency, and any usage-based charges (including messaging costs passed through from our communications provider) are set out in your order form or subscription agreement. Fees are due as invoiced. Except as required by law or expressly stated, fees are non-refundable.

7. Intellectual property

We own the Platform and all related intellectual property. You retain all rights to the data you and your Clients submit ("Customer Data"). You grant us a limited license to host, process, and transmit Customer Data solely to provide and improve the Platform and as permitted by the applicable Business Associate Agreement. The Fleetfully name and route-mark are our trademarks.

8. Third-party services

The Platform relies on third-party subprocessors for messaging, AI extraction, mapping, hosting, and storage. The current list is published at Subprocessors. We remain responsible for their performance under these Terms and the applicable Business Associate Agreement.

9. Confidentiality

Each party will protect the other's confidential information with at least reasonable care and use it only to perform under these Terms. This section does not limit obligations under a Business Associate Agreement, which governs PHI.

10. Warranties & disclaimer

We provide the Platform with commercially reasonable skill and care. Except as expressly stated, the Platform is provided "as is" without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant uninterrupted or error-free operation.

11. Limitation of liability

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenues. Each party's aggregate liability arising out of these Terms will not exceed the fees paid by you for the Platform in the twelve months preceding the claim. Nothing in this section limits liability that cannot be limited under applicable law.

12. Indemnification

You will defend and indemnify us against third-party claims arising from your use of the Platform in violation of these Terms or applicable law, your Customer Data, or your courier operations. We will defend and indemnify you against third-party claims that the Platform, as provided by us, infringes their intellectual property rights.

13. Term & termination

These Terms apply for as long as you use the Platform or maintain an account. Either party may terminate for material breach that remains uncured after written notice. On termination, your right to use the Platform ends. We will make Customer Data available for export for a reasonable period, after which it is deleted in accordance with our retention obligations and any applicable Business Associate Agreement.

14. Changes to these Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date above and, where appropriate, provide additional notice. Continued use of the Platform after changes take effect constitutes acceptance.

15. Governing law & disputes

These Terms are governed by the laws of the United States and the state in which Fleetfully is organized, without regard to conflict-of-laws rules. The parties will attempt in good faith to resolve disputes informally before pursuing other remedies.
